ScoreRaiser, Inc. is a technology company focused on building infrastructure, discovery systems, and analytical tools designed to support and evaluate business traction and growth. While our core focus is institutional, we provide these consumer Services to allow individuals to interact with our foundational technologies.

2.1 Eligibility: You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account and use our Services. 2.2 Account Creation: To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. 2.3 Security: You are responsible for safeguarding your account credentials. 3.1 Permitted Use: You may use the Services solely for your personal, non-commercial purposes, in compliance with these Terms and our Usage Policy. 3.2 Prohibited Activities: You agree not to engage in any of the following activities: • Using the Services for any illegal, fraudulent, or unauthorized purpose. • Attempting to interfere with, disrupt, or compromise the security or integrity of our systems or networks. • Using automated scripts, bots, or scrapers to access, extract, or harvest data from the Services without our explicit permission. • Submitting content that is abusive, harassing, defamatory, or violates the intellectual property or privacy rights of others. • Reverse engineering or attempting to extract the source code of our platforms.

4.1 Your Inputs: You are solely responsible for the text, data, and materials you submit to the Services ("Inputs"). You represent that you have the necessary rights to submit these Inputs and that they do not violate any laws or third-party rights. 4.2 System Outputs: The Services may generate responses, analyses, or data based on your Inputs ("Outputs"). While we strive for accuracy, our systems are based on complex analytical models. You acknowledge that Outputs may not always be entirely accurate, complete, or suitable for your specific situation. You should independently verify any critical information before relying on it. 4.3 Ownership: You retain ownership of your Inputs. Subject to your compliance with these Terms, ScoreRaiser grants you the right to use the Outputs generated during your personal use of the Services. ScoreRaiser retains all intellectual property rights in the underlying technology, algorithms, and infrastructure.

5.1 Premium Features: Certain advanced features of the Services may require a paid subscription. The pricing, features, and billing cycles for these subscriptions will be clearly presented prior to purchase. 5.2 Payment: By selecting a paid subscription, you authorize ScoreRaiser (or our designated payment processor) to charge your provided payment method for the applicable fees. Subscriptions automatically renew unless canceled prior to the end of the current billing cycle. 5.3 Cancellation: You may cancel your subscription at any time through your account settings. Cancellations will take effect at the end of the current paid term, and we do not provide partial refunds for unused periods.

7.1 Disclaimer of Warranties: THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SCORERAISER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED. 7.2 Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, SCORERAISER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8.1 Informal Resolution: Before filing a claim, you agree to try to resolve the dispute informally by contacting info@scoreraiser.com. 8.2 Arbitration Agreement: You and ScoreRaiser agree to resolve any claims relating to these Terms or the Services through final and binding arbitration, except as set forth under Exceptions to Agreement to Arbitrate below. 8.3 Exceptions to Agreement to Arbitrate: Either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Services, or intellectual property infringement without first engaging in arbitration.

We reserve the right to suspend or terminate your access to the Services at our discretion, without notice, if we believe you have violated these Terms, our Usage Policy, or applicable law. You may terminate this agreement at any time by deleting your account and ceasing use of the Services.

ScoreRaiser may modify these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website or via email. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes.
